BOARD OF DIRECTORS' MEETING

Saturday April 20, 2002

Teleconference

The meeting was called to order by president Ray Gavin at 9:00 A.M. Pacific Daylight time (noon Eastern Daylight time).

Those in attendance were: Ray Gavin, Jane Caulfield, Mary Pratt, Margaret Walters, Ray Goff, Cindy Bankhead, Morris Culver, Larry Bullock, Dianne MacDonald and Jean Kambenicky.

Since all members had previously received and read the minutes of the previous board meeting in Louisville, KY, Larry moved to accept the minutes without the reading. Ray Goff seconded and the motion was carried.

TREASURER'S REPORT: Jean Kamenicky reported that in the ARBA third quarter income was $3,356.50. Expenses were $3505.44. The YTD total is <$1,233.93>. The current checking account balance is $464.16. The 4th quarter traditionally has a notable increased income due to the increase of registrations …………..so the future looks bright. At the end of Dec. 2001 the ARBA CD in Wells Fargo had earned $222.92 and the CD in Washington Federal had earned $1042.14.

OLD BUSINESS

BY-LAWS: Committee head Jane Caulfield reported eight articles/sections that need revision. 1. Location of the primary office (ARBA needs to check with the State of Oregon as to the regulations) 2. The addition of "AI" animals needs to be added to the article concerning registrations accepted by the association. 3. The word "must" is to be omitted and "may" is to be added from "application (for membership) must be made on forms furnished by the secretary" . 4. Add "Juniors" to section of "Associate members shall not be entitled to vote." 5. There is a need to clarify "voting members"………….suggested to say "one vote per one fee paid". 6. The board of directors number needs to be changed from 12 to 11. 7. The bylaws needs to specifically state in which ARBA district each Canadian province lies. 8. There needs to be revisions concerning notification to the membership of annual meetings and posting of the agenda for those meetings. Jane will make a final copy of the above changes and mail them to the board members. Mary moved to accept the committees' proposed changes. Ray Goff seconded and the motion was carried.

AI: Jane reported that during the past 5 months Kirsten Holbo applied for registration of 3 rams (semen). There were missing numbers on the application ………..however within this past week Kirsten has supplied those numbers and the committee will re-review the application. Martin Dally has applied for the registration for 2 rams and Maria Rooney has started the paperwork for 2 NZ rams. Jane reports that the AI program is running smoothly.

COMPUTER AND SOFTWARE: Larry reports that ARBA could spend about $1500.00 on a computer …………..however the board needs to realize that it'll be out of date in 5 years. We also need a CD burner for proper storage of files and we need a printer. There was discussion of what type of printer would be best……………consensus was a low end laser black and white and perhaps an ink jet for color work. Larry had looked into two software programs that could work for ARBA……………"Animaltrac" and "Tasc". He reported that "Animaltrac" is simple and down to earth with the cost $450.00. It appears that the program will do all we want and they will customize (i.e. pedigree program) with some additional fees. "Tasc." is from Ireland where 95% of the cattle and sheep folks use it. It is a more complex program and the cost is $2200. It is a very complete program…………there are extra charges for technical support and added cost for customizing…………..probably ending up to a cost of $3000. Larry asked the board members to look at the websites and check them out. Ray Gavin questioned the board "Does ARBA want to purchase a computer and software program?" Ray Goff moved to buy a computer, printer and the "Animaltrac" program. Jane seconded. Discussion followed about withdrawing $3000.00 from ARBA CDs. Jean will look into penalties, etc. for early withdrawal and report to the committee. The motion was carried.

RAMBLINGS EDITOR: Ray Gavin reported that there have been 5 applicants for the position of our Ramblings editor. All of the board members (but one) have copies of the resumes. One of those applicants is an ARBA junior member. Mary moved to send the applicants a past copy of the Ramblings requesting their prices for doing one like it and also ask for suggestions and ideas they have for our newsletter…..plus prices. Also there is to be a 2 week deadline in getting their reply back to our secretary from the time the applicants receive ARBA's request. Jean will send the letter. Jane seconded and the motion was carried. The Ramblings editor committee consists of Cindy Cieciwa, Ray Gavin, Kelly Ward, Margaret Walters and Jean Kamenicky. Cindy Bankhead moved to accept the committees decision in selecting the new Ramblings editor. Dianne seconded and the motion was carried. Jean was asked to send a letter to the Junior member applicant asking her be in charge of a regular "Junior" column for the Ramblings.

2002 ANNUAL MEETING: There was discussion about the sheep shows at Rhinebeck and the Big E. It was decided that the ARBA annual meeting will definitely be at Rhinebeck the 3rd weekend in October 2002.

NATIONAL SHOWS AND SALES: President Ray Gavin stated he would like to see more people in attendance at ARBAs National Sales. It was stated that the Springfield, IL sale is a good place and time to have a sale. Discussion followed about the costs of a sale. Then there was discussion about the rotation of National shows and National sales and the integrating into the schedule ARBAs regional shows. There are basically 2 issues involved………….1. How often do we want a National show and sale? and 2. Do we want to separate the National show and National sale? It was discussed that the National sales be determined by the board without an actual schedule. Mary moved that we have a National show every other year with Regional shows 1,3 & 5 and 2,4,6, in between. Ray Goff seconded and the motion was carried. Jane moved that we have National Sale in Salem,Oregon (during the 2003 Oregon State Fair) in conjunction with the National show. Larry seconded and the motion was carried.

HATS: Jean reported on the company and pricing of the 100% American wool baseball caps. It was suggested that the caps might be a good momento item for exhibitors at the 2003 National show and sale. More on the caps was tabled for further meetings.

EARTAGS: There was discussion concerning ARBA eartags along with the importance of the identification of animals. Jean will compose polling cards and send them out along with registrations that come to the office. There will also be a polling card in the next issue of Ramblings. ARBA will ask for the members to return and sign the cards. The board is hopeful that there will be a good return of this poll from the membership. The issue will be discussed once again at the next meeting.

NEW BUSINESS

ELECTIONS: Mary Pratt's term is up this year along with district 2,4 & 6. Cindy Bankhead will not be running again. Each regional director is responsible for getting a nominating committee and president Ray will select a nominating committee for the director at large. Nominations and resumes are to be sent to the secretary by June 3rd. Ballots should be out by July 15th and ballots returning to the secretary should be postmarked by Aug. 15th2002. Jean will have the resumes posted on the ARBA website upon receiving them.

ANNUAL MEETING 2003: Larry moved to have the annual meeting in Oregon in conjunction with the Oregon State Fair. Cindy B. seconded and the motion was carried. Jean will see to it that this information is posted on the website and in the Ramblings.

NEW BUDGET: Ray Gavin stated he will get a proposed budget out by July 1st of this year.

RECORD KEEPING: Ray Gavin would like the ARBA board to consider/investigate established record keeping data/tracking programs that are currently available for Romneys Following was discussion about some of the existing programs.

JUDGE FOR NAILE 2002: Ray Goff reported on a rule that will be published in the 2002 NAILE book for Romneys that will state the requirement for at least 2" of wool except on the belly and legs. He found that some suggested judges would not enforce this rule. Morris Cuver was selected and has accepted to be the judge and he will enforce the rule. ARBA has an established budget for the NAILE show that Ray has access to ……………….plus it was decided that he can use funds that had been allocated for the Junior NAILE show and the $100.00 raised from the rug auction last Nov. in Kentucky. The 2002 NAILE Junior show has been cancelled due to the lack of participation. The 2002 NAILE open Romney show will be on Wed. Nov. 20th at 11:00 A.M. Arrival date is Nov. 18th and release Date is Nov. 22nd. NAILE has revised penning rules……………..folks can refer to Ray Goff and NAILE concerning this.

TIDEWATER OILCOMPANY: Cindy B. reported that she has tried repeatedly to contact these people concerning their sales pitch to ARBA members that falsely state ARBA endorses their products. ARBA DOES NOT ENDORSE THEIR PRODUCTS. She has not been able to make contact.so far …………………….but will continue to try.

Ray Goff moved to adjourn. Jane seconded and the meeting was adjourned.
