New Board of Directors meeting
ARBA
FEBRUARY 20, 2010
President Cindy Cieciwa called the Board meeting to order at 11:05 EST. In attendance were: Cindy Cieciwa, Margaret Walters, Christiane Payton, Anne McIntyre Lahner, Carol Pasheilich, Chris Bazant, Kendall Spielman, Randy Thompson, Ron Andress, Charlene Carlisle, Jane Caulfield and Dan Pence.
Carol Pasheilich made a motion to shorten the Board meeting by focusing on old business and dealing with new business at another meeting to be held in March. Anne McIntyre Lahner seconded the motion which passed unanimously.
The first order of business was to review the minutes from the August 7, 2009 ARBA Membership Meeting – this was put off until the March Board meeting. Christ Bazant moved that the Board Meeting minutes from 8/9/2009 be approved as presented. Jane Caulfield seconded the motion and it was passed unanimously.
Chris Bazant moved that the Board Meeting minutes from 8/22/2009 be approved as presented. Jane Caulfield seconded the motion and it was passed unanimously.
Chris Bazant moved that the Board Meeting minutes from 8/27/2009 be approved as presented. Jane Caulfield seconded the motion. A note was added to the 8/27/2009 minutes that there was a discrepancy between the roll call and the fact that 2 votes were not accounted for in the changes made to Article V section 2. Therefore the term “unanimous” was removed from this portion of the minutes. All Board members were in favor of the deletion of the word “unanimous” and voted to approve the 8/27/200 minutes.
The Treasurer presented her report to the Board. According to the Treasurer the organization was able to meet its financial obligations in a timely manner and should be able to do so in the foreseeable future. Jane Caulfield moved to accept the report. Margaret Walters seconded the motion and it was approved unanimously.
Carol Pasheilich presented the Advertising Committee report to the Board. The success of the Shepherd ad was discussed as was the desire to run an ad in the June 2010 Banner.
Ron Andress and Charlene Carlisle presented the Youth Committee report to the Board. Ron is coordinating the Morris Culver Memorial Scholarship and Charlene was putting together information for the website and the Ramblings regarding ARBA’s sponsorship of the Jr. All American show in 2010 and 2011.
Cindy Cieciwa and Christiane Payton announced that they would work together on the ARBA budget for the April 2010 Board Meeting.
Ron Andress stated that following 2 By Law Committee meetings, the proposed by-law changes would be presented at the March 2010 Board Meeting.
The 2010 ARBA Annual Meeting is scheduled to be held at the Mt. State Fair in Fletcher, NC which is held September 17-19, 2010.
The annual meeting will take place September 18th in the evening and the open shows are on the 19th. The District 5 Show is at Puyallup, WA on September 22, 2010 (Randy Thompson coordinating) and the District 1 Show is at the Big E in Springfield, MA on September 26, 2010 (Anne McIntyre Lahner coordinating.)
Audit update: the outside auditor looking at ARBA’s books is having trouble matching receipts and expenditures.
The next Board Meeting was scheduled for 11am EST on March 20, 2010. Cindy Cieciwa asked that there be a motion to adjourn the Meeting. Anne McIntyre Lahner moved to adjourn the Board Meeting at roughly 2 pm EST. Margaret Walters seconded the motion and all were in agreement. The meeting was adjourned.
